Applying for registration of a corporation in the register of companies of the State of Brandenburg

Professional titles, additions or word combinations according to § 1 (BbgArchG) may be used in the name of a partnership company, partnership company with limited professional liability or in the name of a corporation if the company is entered in a special register at the Chamber of Architects (register of companies) or is entitled to do so as a foreign company according to § 8 (BbgArchG). With the registration, the company does not become a member of the Chamber of Architects.

• For proof of the entrepreneurial legal form:
  • If the company is based in Germany:
    • Publicly certified copy of the articles of association
    • in the case of partnership companies: proof of entry in the partnership register
    • in the case of registered companies: an excerpt from the commercial register
  • If the company is domiciled abroad: Documents from the country of residence proving the legal form.
• Proof of professional indemnity insurance in accordance with §10 BbgArchG (copy of the insurance certificate)
• Proof of eligibility to use the professional title
• List of all shareholders with details of their respective professional affiliation
• Copy of Deposit Slip

Depending on whether you are a partner company or a corporation, you have to meet different requirements for registration.

Corporation

Companies can be entered in the register of corporations of the Brandenburg Chamber of Architects upon application,

• which have their registered office or branch office in Brandenburg,
• whose participants are natural persons who provide professional services in the field of planning, consulting, project management or project supervision in the construction industry,
• whose managing directors or board members are entered in the list of architects,
• whose members entered in the list of architects hold both the majority of the capital and the majority of the votes among the partners,
• whose articles of association contain an agreement according to which the fiduciary transfer and exercise of company rights and directors' powers is not permitted, and
• whose articles of association contain an agreement according to which the professional obligations applicable to the parties entered in the list of architects are to be complied with by the company.
• have taken out professional indemnity insurance for themselves or their partners.

Note: Professional indemnity insurance must cover personal injuries of at least 1,500,000 euros and other damages of at least 300,000 euros. It must include a five-year subsequent liability.

Any shares must be in the names of the members.

Application fee in the company register: € 510.00

Registration is made upon request. The Chamber of Architects shall confirm receipt of the documents and certificates to the applicant within one month and, if necessary, inform the applicant of which documents and certificates are missing. A decision on the application will be taken within three months of receipt of the complete documents.

The Registration Committee decides on the entry in the list of architects. The Registration Committee shall consist of the legal entity chairing the committee and the required number of assessors. The Registration Committee decides on the basis of the composition of the person chairing the chair or his or her representative and four proprietors, at least two of whom must belong to the applicant's field of expertise.

Note: The application for registration of a partner company must be submitted by the partner entitled to use the professional title.
