Eintragung in das Gesellschaftsverzeichnis der Ingenieurkammer M-V beantragen

The professional title "Consulting Engineer" may only be used in the name or company name of a company if the company is registered in a special register at the Chamber of Engineers Mecklenburg-Western Pomerania (register of companies).

Only companies registered in the register of the Chamber of Engineers Mecklenburg-Vorpommern are allowed to use the protected professional title "Consulting Engineer" in their name or company name.

The following documents must be attached to the application for registration of domestic companies in the register of companies:

for companies:

• publicly certified copy of the memorandum or articles of association,
• list of shareholders,
• proof of registration in the Commercial Register,
• confirmation of the insurer about the existence of sufficient professional liability insurance.

In case of partnership companies:

• Copy of the partnership agreement,
• list of partners,
• proof of partnership registration,
• confirmation of the insurer about the existence of sufficient professional liability insurance.

Changes in the partnership agreement, the articles of association, the list of partners, the entry in the commercial register or the partnership register must be notified to the Chamber by the company without delay. The required documents are to be attached to the notification as proof.

Prerequisites for the registration of domestic companies in the register of companies are:

• Domicile of the company in the state of Mecklenburg-Vorpommern,
• Proof of the existence of sufficient liability insurance by means of a confirmation from the insurer,
• Regulations in the articles of association or the statutes concerning:

1. The object of the company is the performance of the professional tasks according to §§ 1 or 5 paragraph 2,
2. in the cases of paragraph 1
   a) sentence 1 the members of the profession according to § 2 or
   b) sentence 2, the consulting engineers hold more than half of the capital and the voting shares and the other shares are held by natural persons who, on the basis of their professional training, can contribute to achieving the purpose of the company; the professional affiliation of the shareholders who hold at least one quarter of the capital and the voting shares in the company shall be indicated in a suitable manner,
3. the majority of the persons authorized to manage the company are professionals pursuant to § 2 (in the cases of paragraph 1, sentence 1) or consulting engineers (in the cases of paragraph 1, sentence 2) and it is ensured that the company is managed responsibly by these professionals,
4. capital shares in the company may not be held for the account of third parties and voting rights may not be exercised for or by third parties,
5. in the case of stock corporations and partnerships limited by shares, the shares are in registered form,
6. the transfer of capital and business shares is subject to the consent of all shareholders, and
7. the professional duties applicable to the members of the profession pursuant to § 29 are observed by the company.

Numbers 1 to 6 do not apply to partnerships.

Registration fee in the amount of EUR 250.00

Fee for the annual list maintenance in the amount of EUR 150.00

For the registration of domestic companies:

• Application to the Chamber of Engineers Mecklenburg-Vorpommern
• Processing by the registration committee (if necessary, explanations or submission of additional documents)
• Decision of the registration committee

The company must notify the chamber immediately of any changes to the articles of association, the statutes, the list of shareholders, the entry in the commercial register or partnership register.

The notification may be made informally, enclosing the relevant evidence.
