Legal persons whose entry in the commercial register must be made with regard to the subject matter or the nature and scope of their business must be registered for registration by all members of the Executive Board.
A prerequisite for the obligation to register is the operation of a commercial business.
By commercial enterprise understands the case law
- an outwardly recognizable,
- permanent and professionally oriented,
- for the purpose of making a profit, and
- activity carried out in the economic field.
The obligation to register applies to those companies whose registration is not already protected by other legal provisions. These are, in particular, certain legal persons under public law (e.g. corporations, institutions or foundations under public law). The Board of Directors, which is obliged to register, is therefore also understood to mean the body provided for in accordance with the respective public law regulations for representation, e.g. of the respective in-house company.

In individual cases, further documents may be required.
The amount of the fee for registration is determined by the Court and Notary Costs Act in conjunction with the Ordinance on Fees in Commercial, Partnership and Cooperative Register Matters. In addition, expenses for the public publication of the registration are incurred.
The application must be submitted electronically to the registry court in a publicly certified form.
After successful registration, you will receive a registration notification.
Please note that you must also report company-relevant changes, such as changes in company, registered office, granting or revocation of authorized signatories, etc., to the registry court.
