A European Economic Interest Grouping (EEIG) may be formed by companies and other entities governed by public or private law in accordance with the national law of a Member State. It may also be formed by natural persons carrying on an industrial, commercial, craft, agricultural or professional activity in the Community or providing other services there.
The contract for the formation of an EEIG must contain the name, registered office, objects of the association and, where applicable, the name, registration number and place of registration of each member of the association, as well as the duration of the association, unless it is unlimited.
This contract must be entered in the register provided for that purpose by each Member State. Registration confers full legal capacity on the EEIG throughout the Community.
Any formation or dissolution of an EEIG is additionally notified for information purposes in the Official Journal of the European Union.
- Registration
- Memorandum of association
- Certificate of appointment of the managing directors
An EEIG must have at least two members from different member states, but may not employ more than 500 people.
Fixed fees are charged for entries in the Commercial Register in accordance with the Commercial Register Fees Ordinance.
The registration court must decide on the registration immediately after receipt of the application. If all documents are available and no objections by the court are necessary, registrations are usually made within a few working days.
The purpose of an EEIG is to facilitate or develop the economic activity of its members and to improve or increase the results of this activity.
The association does not have the purpose of making profit for itself. The activity of the EEIG must be related to the economic activity of its members and may only constitute the auxiliary activity to it.
